Terms &conditions.

By submitting a vendor application, electronically accepting these Terms & Conditions, or submitting payment to Belledene Events, the applicant acknowledges that they have read, understand, and agree to be legally bound by these Vendor Terms & Conditions.

Electronic acceptance of these Terms & Conditions constitutes the vendor's electronic signature and agreement to conduct this transaction electronically.

Application & Acceptance

Submission of an application does not guarantee acceptance. Belledene Events reserves the right to approve or deny applications based on category availability, duplication, event fit, space limitations, quality, safety, and the overall needs of the event.

Acceptance into one Belledene Events event does not guarantee acceptance into future events.

Booth placement is determined solely by Belledene Events. Specific placement requests may be considered but are never guaranteed.

Fees & Payment

All booth fees, deposits, upgrades, add-ons, electrical charges, rentals, processing fees, and other amounts associated with vendor participation must be paid according to the payment deadline provided by Belledene Events.

A booth is not reserved until all required payment has been received.

Unless expressly stated otherwise in writing by Belledene Events, all payments are non-refundable and non-transferable.

Failure to pay by the required deadline may result in forfeiture of the booth without further notice.

Vendor Cancellation & Refund Policy

ALL VENDOR SALES ARE FINAL.

Vendor cancellations do not automatically qualify for a refund, regardless of the reason for cancellation or how far in advance the cancellation occurs.

If a vendor cancels, Belledene Events may attempt to resell the vacated booth space. If the booth is successfully resold and fully paid for by a replacement vendor, Belledene Events may issue the original vendor a refund of the booth fee, at Belledene Events' discretion.

A cancellation does not guarantee that the booth will be resold.

Processing fees, administrative fees, add-ons, advertising purchases, sponsorships, rentals, and other costs already incurred are non-refundable.

No refund is owed unless Belledene Events expressly confirms the refund in writing.

Event Postponement, Rescheduling & Make-Up Dates

Belledene Events reserves the right to postpone, reschedule, relocate, modify, shorten, or otherwise adjust an event when reasonably necessary because of circumstances including, but not limited to: severe weather, extreme temperatures, fire, flood, natural disaster, utility failure, HVAC or mechanical failure, venue conditions, structural or safety concerns, government orders, public emergencies, acts of God, labor disruptions, acts or threats of violence, circumstances affecting public safety, or other events beyond Belledene Events' reasonable control.

A postponed, relocated, or rescheduled event is not considered a cancellation.

When an event is postponed or rescheduled because of such circumstances, Belledene Events may provide a make-up or replacement event date occurring within one (1) year of the originally scheduled event date.

All vendor fees and reservations will automatically transfer to the make-up or rescheduled date.

No refunds will be issued because an event is postponed, relocated, modified, or rescheduled pursuant to this provision.

If a vendor cannot or chooses not to participate on the make-up or rescheduled date, the vendor's absence will be treated as a vendor cancellation and no refund will be due.

Event Changes

Belledene Events may make reasonable changes to event hours, schedules, layouts, booth locations, entertainment, activities, entrances, exits, parking arrangements, vendor placement, or other operational details.

Such changes do not constitute cancellation and do not entitle a vendor to a refund.

Attendance & Sales

Belledene Events makes no guarantee regarding event attendance, foot traffic, vendor sales, revenue, profitability, customer demographics, weather conditions, or individual vendor performance.

Marketing plans, attendance projections, social-media reach, impressions, advertising estimates, historical attendance, ticket sales, promotional materials, or other projections are estimates only and are not guarantees of attendance or sales.

Marketing & Promotional Materials

Belledene Events may advertise events using photographs, videos, illustrations, renderings, mockups, projections, examples, previous-event imagery, or other promotional materials.

Unless specifically identified as guaranteed features, promotional materials are intended to communicate the anticipated style, atmosphere, offerings, or concept of an event and do not constitute a guarantee regarding attendance, vendors, attractions, entertainment, activities, or event conditions.

Insurance & Permits

Vendors are responsible for obtaining and maintaining all licenses, permits, insurance, certifications, health-department approvals, and other documentation legally required for their business or participation.

Where Belledene Events requires proof of liability insurance or other documentation, it must be submitted by the stated deadline.

Food vendors are responsible for all applicable health-department requirements and permits.

Failure to provide required documentation may result in removal from the event without refund.

On-Site Conduct

Vendors must comply with all load-in, setup, operating, and load-out instructions.

Vendors must arrive during designated load-in periods and have their booths completely set up and ready when the event opens.

Booths must remain properly staffed during required event hours.

Early breakdown or departure is prohibited without prior authorization from Belledene Events.

Late arrival, early departure, failure to staff a booth, disruptive conduct, failure to follow event rules, or failure to follow reasonable instructions from Belledene Events or venue personnel may result in removal from the event without refund.

Vendors are responsible for the behavior of their employees, contractors, representatives, and guests.

Booth Setup & Space

Vendors must remain within their assigned booth footprint.

Displays, merchandise, tents, signs, equipment, cords, fixtures, and other items must be safely installed and secured.

Vendors may not obstruct aisles, exits, neighboring booths, emergency access, or other designated areas.

Electricity, water, Wi-Fi, tables, chairs, or other amenities are not included unless specifically stated or purchased.

Vendor booth spaces may not be sold, transferred, subleased, or shared without prior written approval from Belledene Events.

Prohibited Items & Activities

Belledene Events may prohibit any merchandise, service, display, activity, signage, or conduct that it reasonably determines to be illegal, unsafe, counterfeit, offensive, disruptive, inconsistent with the event, or outside the category approved in the vendor's application.

Weapons, illegal substances, counterfeit merchandise, and unlawful goods or services are prohibited.

Vendors may be required to immediately remove prohibited items.

Failure to comply may result in removal from the event without refund.

Damage & Vendor Responsibility

Vendors are responsible for damage caused by themselves, their employees, contractors, equipment, displays, products, or operations.

The vendor agrees to reimburse Belledene Events and/or the venue for damage for which the vendor is legally responsible.

Vendors are responsible for securing their own merchandise, cash, equipment, displays, and personal property.

Assumption of Risk & Liability

Participation in festivals, markets, expos, and other public events involves inherent risks.

To the fullest extent permitted by applicable law, vendors voluntarily assume the risks associated with their participation.

Belledene Events is not responsible for vendor losses arising from theft, property damage, weather, temperature, attendance, customer behavior, venue conditions, utility interruptions, mechanical or HVAC failures, or circumstances outside Belledene Events' reasonable control, except to the extent liability cannot legally be waived or limited.

Removal From Event

Belledene Events reserves the right to remove a vendor who violates these Terms & Conditions, event-specific rules, applicable law, venue requirements, or reasonable safety instructions.

Removal for a vendor violation does not entitle the vendor to a refund.

No Oral Modifications

Statements or representations made by staff members, volunteers, contractors, other vendors, or third parties do not modify these Terms & Conditions.

Any exception or modification must be authorized in writing by Belledene Events.

Governing Terms

These Vendor Terms & Conditions, together with any event-specific written terms presented during application or registration, constitute the agreement governing vendor participation.

If an event-specific term conflicts with these general terms, the event-specific written term will control for that event.

Changes to Terms

Belledene Events may update these Terms & Conditions for future applications.

The version electronically accepted by the vendor at the time of application/payment will govern that vendor's participation in that event.

Changes made after acceptance will not retroactively alter the vendor's agreement unless both parties agree to the modification.

Visual Materials

Select imagery presented throughout this website is representational rather than documentary in nature. Such visuals may comprise conceptual renderings, artificially generated compositions, and/or licensed stock photography, and are furnished solely for illustrative and atmospheric purposes. They are not to be construed as a literal record, photographic proof, or warranty of the actual appearance, attendance, programming, or conditions of any particular event; most notably inaugural or newly announced events for which no antecedent visual archive yet exists. Where prior historical documentation is unavailable, interpretive imagery is employed to convey the intended spirit and character of the experience.
